These Terms of Service (“Terms”) govern your access to and use of the website located at https://sykes-tech.com and related pages operated by Sykes Tech Consulting LLC (“Sykes Tech,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Who we are and what this Site is

Sykes Tech provides professional consulting and related technology services. The Site is a marketing and information resource. It is not itself a contract for consulting, product licensing, or implementation work.

Any engagement for services is governed only by a separate written agreement signed or otherwise accepted by Sykes Tech and the client (such as a statement of work, master services agreement, or product terms). Nothing on the Site creates a client relationship, partnership, or fiduciary duty.

2. Eligibility

The Site is intended for adults acting in a business or professional capacity. You represent that you have authority to use the Site and, if you submit information on behalf of an organization, that you are authorized to do so.

3. Informational content only

Content on the Site, including descriptions of AI, healthcare technology, QLens, due diligence, or industry practices, is for general information. It is not legal, medical, financial, investment, or regulatory advice. You should not rely on Site content as a substitute for professional advice tailored to your situation.

We may change Site content, service descriptions, or availability at any time without notice.

4. Inquiries and consultations

Submitting a form or booking a call does not obligate either party to enter an engagement. We may decline or discontinue a conversation at our discretion. Do not send confidential patient data, trade secrets you are not authorized to share, or other highly sensitive materials through the public Site.

5. Acceptable use

You agree not to:

• Use the Site for any unlawful, deceptive, or harmful purpose
• Attempt to probe, scan, reverse engineer, or disrupt the Site or its infrastructure

The Site and all content, trademarks, logos, graphics, text, and design elements are owned by Sykes Tech or our licensors and are protected by intellectual property laws. QLens, Sykes Tech, and related names and marks are identifiers of our business and offerings.

You may view and print pages for your own internal business evaluation. You may not copy, modify, distribute, publicly display, or create derivative works from Site content without our prior written consent, except for limited quotations with attribution in ordinary business communications.

7. User submissions

If you send us ideas, feedback, or other materials through the Site, you grant Sykes Tech a non-exclusive, worldwide, royalty-free license to use that material to operate our business and respond to you. Do not send materials you do not have the right to share. We are not obligated to use unsolicited ideas or to keep them confidential unless we have a separate nondisclosure agreement in place.

10. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYKES TECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYKES TECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THIS SECTION APPLIES TO THE SITE ONLY AND DOES NOT LIMIT REMEDIES AVAILABLE UNDER A SEPARATE SIGNED CLIENT AGREEMENT.

12. Indemnification

You will defend, indemnify, and hold harmless Sykes Tech and its personnel from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your infringement of another person’s rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Except where prohibited by law, you agree that exclusive venue for disputes arising out of the Site or these Terms is the state or federal courts located in Texas, and you consent to personal jurisdiction there.

Before filing a claim, you agree to contact us at info@sykes-tech.com and attempt to resolve the dispute informally for 30 days.

14. Changes and termination

We may update these Terms by posting a revised version on this page with a new “Last updated” date. Your continued use of the Site after changes become effective constitutes acceptance. We may suspend or discontinue the Site at any time.

15. General

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between you and Sykes Tech regarding the Site and supersede prior understandings about the Site. They do not supersede a signed client or product agreement. Our failure to enforce a provision is not a waiver.
